RecruitPilot AI Terms of Service

Welcome to RecruitPilot AI! These Terms of Service Terms govern your use of our products and services, including Custom GPTs available in the GPT store, our Chrome extension and our Web app. By accessing or using our services, you agree to be bound by these Terms.

1. Definitions

- Services Refers to all products and services offered by RecruitPilot AI, including the Custom GPTs, Chrome extension, Web app, Website and any related applications or websites. The processing of personal data is further detailed in our Data Processing Agreement (DPA).

- User Any individual or entity who accesses or uses our Services.

- Content Can include any text, images, videos, or other material provided, uploaded, or shared by RecruitPilot AI or its Users through the Services.

2. Acceptance of Terms

- By accessing or using our Services, you agree to comply with and be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must not use our Services.

- These Terms constitute a binding agreement between you and RecruitPilot AI. You acknowledge that these Terms are supported by reasonable and valuable consideration, the receipt and adequacy of which you acknowledge. This consideration includes, without limitation, your use of the Services and the data, materials, and information available through the Services.

- We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on our website. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for changes. If you do not agree to the amended terms, you must stop using the Services.

- When you use our Services or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on this site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

- By accessing and using the Services, you consent to enter into the agreement electronically. You acknowledge that your electronic submissions constitute your agreement and intent to be bound by these Terms. Pursuant to any applicable laws, including the Electronic Signatures in Global and National Commerce Act (E-Sign Act) and Uniform Electronic Transactions Act (UETA), you agree to the use of electronic signatures, contracts, orders, and other records and to electronic delivery of notices, policies, and records of transactions initiated or completed through the Services.

3. Accounts and Registration

- To access certain features of our Services, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information as prompted by the registration form, maintain and promptly update your account information to keep it accurate, current, and complete, and keep your account credentials (username and password) confidential and secure.

- You are responsible for all activities that occur under your account. You agree not to use another user's account without permission, create an account for anyone other than yourself without permission, sell, transfer, license, or assign your account, username, or any account rights.

- You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use 'strong' passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account. RecruitPilot AI Limited will not be liable for any loss or damage arising from your failure to comply with the above requirements.

- We reserve the right to suspend or terminate your account and your access to the Services at any time, for any reason, including if we reasonably believe you have violated these Terms or your account has been compromised or used in a manner that could harm RecruitPilot AI Limited or other users. If your account is terminated, you may lose any data or content associated with your account, and you will not be entitled to any compensation.

- We reserve the right to terminate inactive accounts. An account may be considered inactive if there has been no activity for an extended period, as determined by us.

- You may not create multiple accounts for the same individual or entity without prior written consent from RecruitPilot AI Limited. We reserve the right to merge or delete duplicate accounts.

4. Pricing and Payment

- Access to certain features of our Services may require payment of subscription fees. The applicable fees and billing periods will be disclosed to you at the time of registration for such services.

- RecruitPilot AI Limited reserves the right to change subscription fees for any feature of the Services, and we will provide notice of any fee changes. Continued use of the Services after the fee change constitutes your agreement to pay the modified fee.

- We accept various forms of payment, including but not limited to major credit cards and third-party payment processors. By providing a payment method, you expressly authorise RecruitPilot AI Limited or our third-party payment processor to charge the applicable fees to the provided payment method.

- Subscription fees are billed on a periodic basis as specified during registration (e.g., monthly or annually). Your billing cycle will depend on the type of subscription you select when you register for the Service.

- Unless you cancel your subscription, your subscription will automatically renew at the end of each billing cycle at the then-current subscription rate. You authorise us to charge your payment method for the subscription renewal.

- You may cancel your subscription at any time by contacting us at support@recruitpilot.ai or through the account settings on our website. Cancellations will take effect at the end of the current billing period, and you will not be charged for the next billing cycle. Payments are non-refundable, and no refunds or credits will be provided for partial subscription periods or unused services, except as required by applicable law.

- If any fees remain unpaid, RecruitPilot AI Limited reserves the right to suspend or terminate your access to the Services. Delinquent accounts may incur fees or charges incidental to chargeback or collection of the delinquent amount, including collection fees. In the event of non-payment, we may employ the services of a collections agency to recover the amounts due. You agree to pay all costs associated with such collections, including reasonable attorneys' fees and other legal costs.

- From time to time, we may offer promotions or discounts on subscription fees. These offers are subject to specific terms and conditions, which will be provided at the time of the offer. Promotional offers and discounts may not be combined with other offers unless expressly stated. We reserve the right to modify or discontinue promotional offers at any time without notice.

- All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for paying any applicable taxes related to your use of the Services. If you are required by law to withhold any taxes from your payments to RecruitPilot AI Limited, you must provide us with an official tax receipt or other appropriate documentation to support such payments.

5. Prohibited Activities

- You agree not to use the Services in any manner that violates any local, state, national, or international law or regulation.

- Engages in any fraudulent activity, including impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

- Engages in any activity that is harmful to others, including but not limited to harassment, abuse, defamation, libel, or invasion of privacy.

- Attempts to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services, through hacking, password mining, or any other means.

- Interferes with or disrupts the Services or the servers or networks connected to the Services, or disobeys any requirements, procedures, policies, or regulations of networks connected to the Services.

- Uploads, posts, emails, transmits, or otherwise makes available any content that contains viruses, worms, Trojan horses, spyware, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.

- Uploads, posts, emails, transmits, or otherwise makes available any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.

- Engages in the transmission of 'junk mail,' 'chain letters,' or unsolicited mass mailing, instant messaging, 'spimming,' or 'spamming.'

- Uses any data mining, robots, scraping, or similar data gathering or extraction methods.

- Uploads, posts, emails, transmits, or otherwise makes available any content in an incorrect format or that is not supported by the Services, which can disrupt the functionality or accessibility of the Services.

- Engages in any form of harassment, abuse, or bullying of any other user.

- Posts or transmits any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

- Impersonates any person or entity, including, but not limited to, a RecruitPilot AI Limited employee, or falsely states or otherwise misrepresents your affiliation with a person or entity.

- Interferes with or disrupts the integrity or performance of the Services or the data contained therein.

- Uses manual or automated software, devices, or other processes to 'crawl,' 'spider,' or 'scrape' any page of the Services.

- Creates multiple accounts for the same individual or entity without prior written consent from RecruitPilot AI Limited.

- Sells, resells, rents, or leases the Services or any part thereof without prior written consent from RecruitPilot AI Limited.

- Uses the Services in a manner that exceeds reasonable request volume, constitutes excessive or abusive usage, or otherwise negatively impacts the performance of the Services.

- Violates any other policy or terms related to the use of the Services.

6. User Content

- By uploading or submitting any content through our Services, you grant RecruitPilot AI a non-exclusive, worldwide, royalty-free license to use, modify, reproduce, and distribute your content in connection with the operation of the Services.

- You are solely responsible for any content you upload, post, or otherwise make available through the Services. RecruitPilot AI does not endorse any user content and is not responsible for its accuracy or legality.

- RecruitPilot AI reserves the right to remove any content that violates these Terms or is otherwise deemed inappropriate.

7. Data Protection and Privacy

- RecruitPilot AI Limited is committed to protecting the privacy and security of your personal information. This section outlines how we collect, use, share, and protect your data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and relevant AI regulations.

- We may collect the following types of personal information: Name, email address, phone number, and other contact details, Username, password, and other authentication details, Information about how you use our Services, including access times, IP address, browser type, and device information, Payment information, transaction history, and billing details, Any content you upload, post, or otherwise make available through our Services.

- We use your personal information for the following purposes: To provide, maintain, and improve our Services, including account management and customer support, To send you updates, notifications, and other information related to your use of the Services, To customize your experience and deliver content and features that match your preferences, To protect our Services and users from unauthorized access, fraud, and other security threats, To comply with legal obligations and respond to legal requests and investigations.

- We may share your personal information with the following parties: Third-party vendors who assist us in providing and improving our Services, such as payment processors, hosting providers, and customer support services, Partners with whom we collaborate to offer additional services or features, Companies within our corporate group for internal administrative purposes, Law enforcement, regulatory bodies, and other authorities as required by law or to protect our legal rights.

- We implement a variety of security measures to protect your personal information: Data in transit is protected using Secure Sockets Layer (SSL) / Transport Layer Security (TLS), and data at rest is encrypted using 256-bit Advanced Encryption Standard (AES), Access to personal data is restricted to authorized personnel who need it to perform their job duties, We use firewalls, intrusion detection systems, and other network security measures to prevent unauthorized access to our systems, We conduct regular audits and assessments of our security practices to identify and address potential vulnerabilities, Our employees receive ongoing training on data protection and security best practices.

- We retain personal information only as long as necessary for the purposes for which it was collected, including legal, regulatory, tax, accounting, or reporting requirements. The retention period is determined based on the nature and sensitivity of the information and the potential risk of harm from unauthorized use or disclosure.

8. Intellectual Property

- All intellectual property rights in and to the Services, including but not limited to the design, graphics, text, software, data, and all other materials provided through the Services, are owned by RecruitPilot AI Limited or our licensors. This includes, without limitation, the Services' design, structure, selection, coordination, expression, 'look and feel,' and arrangement of such content.

- The trademarks, service marks, logos, and trade names displayed on the Services are the property of RecruitPilot AI Limited and/or its licensors or other third parties. You are not permitted to use these marks without the prior written consent of RecruitPilot AI Limited or the respective third-party owner.

- RecruitPilot AI Limited grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business use only, in accordance with these Terms. This license does not include: Any resale or commercial use of the Services or their contents, Any derivative use of the Services or their contents, Any downloading or copying of account information for the benefit of another merchant, Any use of data mining, robots, or similar data gathering and extraction tools.

- You may not modify, reproduce, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except to: Store copies of such materials temporarily in RAM, Store files that are automatically cached by your web browser for display enhancement purposes, Print a reasonable number of pages of the Services for a permitted use, Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text, Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site, Access or use for any commercial purposes any part of the Services or any services or materials available through the Services.

9. User Contributions

- By uploading, submitting, or otherwise making available any content to the Services, including but not limited to documents, text, photos, videos, audio, graphics, or other material (collectively, 'User Contributions'), you grant RecruitPilot AI Limited a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Contributions throughout the world in any media.

- You retain ownership of all your User Contributions. However, by providing User Contributions to the Services, you represent and warrant that: You own or control all rights in and to the User Contributions and have the right to grant the license granted above, All your User Contributions do and will comply with these Terms, You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not RecruitPilot AI Limited, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

- You agree not to upload, post, or otherwise make available any User Contributions that: Are unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, offensive, or profane, Infringe any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights of any party, Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity, Contain unsolicited or unauthorized advertising, promotional materials, 'junk mail,' 'spam,' 'chain letters,' 'pyramid schemes,' or any other form of solicitation, Contain viruses, corrupted data, or other harmful, disruptive, or destructive files.

10. Monitoring and Enforcement

- RecruitPilot AI Limited reserves the right to remove or refuse to post any User Contributions for any or no reason in our sole discretion. This includes content that we determine, in our sole judgment, violates these Terms, is inappropriate, or is otherwise objectionable.

- RecruitPilot AI Limited reserves the right to take any action with respect to User Contributions that we deem necessary or appropriate, including if we believe that such User Contribution: Violates these Terms, Infringes any intellectual property right or other rights of any person or entity, Threatens the personal safety of users of the Services or the public, Could create liability for RecruitPilot AI Limited.

- We may disclose your identity or other information if required by law, including in response to any court order or subpoena, or if we believe that such disclosure is necessary to protect the rights, property, or safety of RecruitPilot AI Limited, our users, or others.

11. Security Measures

- Information in transit is encrypted using Secure Sockets Layer (SSL) / Transport Layer Security (TLS) and stored using 256-bit AES encryption.

- Access to personal information is restricted to authorized personnel who need it for their duties.

- We conduct regular audits of our information security practices.

- The Services are provided on an 'as is' and 'as available' basis. RecruitPilot AI makes no representations or warranties of any kind, express or implied, about the operation of the Services or the information, content, materials, or products included on the Services.

- You expressly agree that your use of the Services is at your sole risk. While we strive to provide accurate and up-to-date information, we do not warrant that any information provided through the Services is accurate, complete, reliable, current, or error-free.

- Our Services may include content provided by third parties. All statements and opinions expressed in such content, other than the content provided by RecruitPilot AI, are solely the responsibility of the person or entity providing those materials. Such materials do not necessarily reflect the opinion of RecruitPilot AI.

- To the fullest extent permitted by law, RecruitPilot AI disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. RecruitPilot AI does not warrant that the Services, its servers, or emails sent from RecruitPilot AI are free of viruses or other harmful components.

- RecruitPilot AI will not be liable for any damages of any kind arising from the use of the Services, including, but not limited to, direct, indirect, incidental, punitive, and consequential damages.

- Any advice or information provided by RecruitPilot AI through the Services is for general informational purposes only and should not be construed as professional advice. Users should consult appropriate professionals for specific advice tailored to their situation.

- RecruitPilot AI does not warrant or make any representations regarding the use or the results of the use of the Services in terms of their correctness, accuracy, reliability, or otherwise. No advice or information, whether oral or written, obtained by you from RecruitPilot AI or through the Services shall create any warranty not expressly stated herein.

- RecruitPilot AI will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, supply shortages, or interruptions in telecommunications or internet services.

14. Limitation of Liability

- To the fullest extent permitted by law, RecruitPilot AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from: Your use of or inability to use the Services, Any unauthorized access to or use of our servers and/or any personal information stored therein, Any interruption or cessation of transmission to or from the Services, Any bugs, viruses, Trojan horses, or the like which may be transmitted to or through our Services by any third party, Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services, Statements or conduct of any third party on the Services.

15. Governing Law

- These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms, including matters related to data processing as detailed in our Data Processing Agreement (DPA), shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Third-Party Policies

- Our services are integrated with third-party platforms and services, and we adhere to their privacy and usage policies: Google: Our React web app uses Firebase for user authentication, and our services comply with Google's privacy, security, and usage policies. This includes data handling as specified by Google API Services User Data Policy, including the Limited Use requirements, Apple: Our Apps available on Apple platforms comply with Apple's privacy policies and guidelines, OpenAI: Our products, including Custom GPTs and the Wingman Chrome extension, comply with OpenAI's privacy and usage policies. This includes adhering to OpenAI’s standards for data handling, security, and user privacy.

17. Version Control

- We maintain version control to ensure the most current version of our Terms is always available to our users. Each update to the Terms will include a new version number and date to indicate when the changes took effect. Users are responsible for reviewing the Terms periodically to stay informed about any changes. Continued use of the Services following the posting of a new version indicates your acceptance of the modified Terms.
